For Travel Agents, Affiliates & Luxury Partners
This Commission Payment Processing Policy (“Policy”) governs how commissions are calculated, approved, and paid by SJD Taxi, LLC (“SJD Taxi”) to approved Travel Agents, Affiliates, and Luxury Agency Partners (“Partner”). This Policy is incorporated into and subject to the SJD Taxi Travel Agent Agreement.
1. Commission Eligibility
Commission is earned only when:

The booking is submitted through an approved channel.

The service is fully completed.
-
Payment has been successfully received and cleared.
-
No fraud alerts, disputes, or chargebacks are pending.
Commission is not earned on:

Cancelled services.
-
Refunded services.
-
No-shows.
-
Disputed transactions.
-
Government taxes or mandatory tourism fees.
-
Gratuities or pass-through third-party charges.
2. Commission Calculation
Commission is calculated based on:

The confirmed service rate.
-
The agreed commission percentage or net rate structure.
-
The applicable partner tier at time of booking.
Commission percentages are applied to eligible service revenue only and exclude non-commissionable items.
SJD Taxi reserves the right to audit booking data for accuracy.
3. Payment Schedule
Commission payments are processed:

On a monthly basis.
-
After the close of the service month.
-
Within a defined processing window (typically 15–30 days after month-end).
SJD Taxi reserves the right to adjust payment timing due to:

Fraud review
-
Chargeback investigation
-
Compliance verification
-
Incomplete documentation
4. Minimum Payout Threshold
A minimum commission balance may be required before payment is issued.
If the minimum threshold is not met, the balance will roll forward to the next payout cycle.
5. Tax Documentation Requirement
No commission payments will be issued without proper tax documentation on file.
U.S.-based Partners must provide:

Non-U.S. Partners must provide:

Form W-8BEN or W-8BEN-E
-
Any required foreign tax identification documentation
SJD Taxi may withhold payment until required documentation is received and verified.
6. Payment Methods
Approved payout methods may include:

ACH (U.S.)

Wire transfer
-
PayPal
-
Wise
-
Other approved digital transfer methods
Any transfer fees charged by banks or payment processors may be deducted from commission payments where applicable.
7. Chargebacks & Disputes*
If a client initiates a chargeback or payment dispute:

Commission related to the booking will be withheld.
-
Previously paid commission may be reversed.
-
SJD Taxi may offset disputed amounts against future commissions.
Excessive chargeback activity may result in:

Commission suspension
-
Tier downgrade
-
Termination of partnership
8. Fraud Review
SJD Taxi maintains fraud prevention and identity verification procedures.
Commission may be delayed if:

Passenger identity cannot be verified.
-
Booking patterns indicate suspicious activity.
-
Payment source appears high-risk.
SJD Taxi reserves sole discretion in fraud-related determinations.
9. Currency & Exchange Rates
Commission payments are typically issued in U.S. Dollars unless otherwise agreed.
For international payments:

Exchange rates are determined at time of processing.
-
SJD Taxi is not responsible for foreign currency conversion losses.
10. Errors & Corrections
Partners must notify SJD Taxi of commission discrepancies within 30 days of payment.
Failure to notify within this period constitutes acceptance of the commission statement.
11. Account Suspension
Commission payments may be suspended if:

Partner violates pricing policy.
-
Fraud or misrepresentation is detected.
-
Tax compliance documentation is incomplete.
-
Marketing violations are unresolved.
Suspension does not eliminate liability for outstanding balances.
12. Policy Modifications
SJD Taxi reserves the right to modify commission structures, payment schedules, or processing terms with written notice.
Continued participation in the program constitutes acceptance of updates.
Acknowledgment
Participation in the SJD Taxi Partner Program constitutes agreement to this Commission Payment Processing Policy.
*Chargeback & Risk Mitigation Rider
This Chargeback & Risk Mitigation Rider (“Rider”) supplements and is incorporated into the SJD Taxi Travel Agent Agreement and Commission Payment Processing Policy (collectively, the “Agreement”). This Rider governs fraud prevention, dispute handling, and financial risk allocation between SJD Taxi, LLC (“SJD Taxi”) and the approved Travel Agent, Affiliate, or Luxury Partner (“Partner”).
1. Purpose
Due to the nature of international travel services and card-not-present transactions, chargebacks and payment disputes present material financial risk. This Rider establishes procedures and financial responsibility standards for managing that risk.
2. Definition of Chargeback
A “Chargeback” includes:

Cardholder disputes
-
Fraud claims
-
Unauthorized transaction claims
-
Bank reversals
-
Payment processor disputes
-
Retrieval requests escalating to financial reversal
A “Disputed Transaction” includes any payment under investigation by a financial institution or processor.
3. Commission Withholding
If a booking becomes subject to a Disputed Transaction:

Related commission will be immediately withheld.
-
Previously paid commission may be reversed.
-
Future commission payments may be paused pending investigation.
Commission is not considered earned until the dispute window has closed and funds are fully secured.
4. Financial Responsibility Allocation
Responsibility for chargebacks will be determined based on booking channel and payment control:
A. If SJD Taxi Processes Payment Directly:
SJD Taxi will manage dispute defense; however:

Commission will be reversed.
-
Partner may be subject to review if dispute rates exceed acceptable thresholds.
-
Repeat high-risk booking patterns may result in suspension.
B. If Partner Processes Client Payment:
If Partner collects funds and remits payment to SJD Taxi:

Partner assumes full responsibility for chargebacks initiated by their client.
-
SJD Taxi may invoice Partner for unpaid balances resulting from reversal.
-
SJD Taxi may offset amounts against future commissions.
5. Excessive Dispute Threshold
SJD Taxi reserves the right to define acceptable dispute thresholds.
If Partner’s bookings exceed acceptable dispute ratios, SJD Taxi may:

Suspend commission eligibility

Downgrade partner tier
-
Require prepayment terms
-
Terminate partnership
SJD Taxi retains sole discretion in determining risk thresholds.
6. Fraud Prevention Cooperation
Partner agrees to:

Provide accurate traveler contact information.
-
Submit correct arrival and identification details.
-
Assist promptly in dispute documentation.
-
Provide supporting client communication records upon request.
Failure to cooperate may result in:

Commission forfeiture
-
Account suspension
-
Immediate termination
7. Identity Verification & Documentation
SJD Taxi maintains identity verification protocols, including:

Passenger ID confirmation at pickup
-
Booking validation procedures
-
Operational documentation
Partner acknowledges that these procedures are designed to defend against fraud claims and agrees not to interfere with such processes.
8. High-Risk Booking Patterns
SJD Taxi may flag bookings as high risk based on:

Large group bookings
-
Last-minute reservations
-
Mismatch in passenger and payer identity
-
Unusual booking frequency
-
Geographic payment anomalies
SJD Taxi reserves the right to:

Require additional verification
-
Decline suspicious bookings
-
Require wire transfer or secure payment methods
9. Offset Rights
SJD Taxi reserves the right to offset:

Chargeback losses
-
Investigation costs
-
Bank fees
-
Legal recovery costs
Against any commission or amounts owed to Partner.
10. Indemnification
Partner agrees to indemnify and hold harmless SJD Taxi from losses arising from:

Fraudulent client activity originating through Partner

Misrepresentation of service terms
-
Inaccurate client data submission
-
Unauthorized payment processing
This indemnification survives termination of the Agreement.
11. Termination for Risk Exposure
SJD Taxi may immediately terminate the Partner relationship if:

Fraud exposure becomes material
-
Dispute levels exceed acceptable thresholds
-
Partner fails to provide documentation
-
Financial instability is detected
Termination does not eliminate outstanding financial obligations.
12. No Waiver of Rights
Failure to enforce any provision of this Rider shall not constitute waiver of rights.
13. Governing Law
This Rider is governed by the laws of the United States and the state of SJD Taxi’s principal place of business.
Acknowledgment
Participation in the SJD Taxi Partner Program constitutes acceptance of this Chargeback & Risk Mitigation Rider.
