SJD Taxi Travel Agent & Affiliate Agreement, Terms & Conditions

Transportation, Concierge & Activity Services – for services in Los Cabos, Baja California Sur, Mexico

This Travel Agent Agreement (“Agreement”) is entered into between SJD Taxi, LLC, a United States limited liability company (“SJD Taxi”), and the applying travel agency or travel advisor (“Agent”). By registering for participation in the SJD Taxi Travel Agent Program, Agent agrees to the following terms and conditions.

1. Scope of Services

SJD Taxi provides private ground transportation, concierge assistance, and activity booking services within Los Cabos, Baja California Sur, Mexico, and surrounding regions (“Services”). The Agent is authorized to market and resell these Services to its clients, subject to the terms of this Agreement. This Agreement does not create any ownership interest, partnership, joint venture, employment, or agency relationship beyond that of an independent contractor referral partner.

2. Independent Contractor Status

Agent acts solely as an independent contractor. Agent has no authority to bind SJD Taxi to any contract, representation, warranty, or liability beyond published service terms. Agent agrees not to present itself as an employee, officer, or legal representative of SJD Taxi.

3. Compliance with Laws

This Agreement is governed by the laws of the United States and the State in which SJD Taxi, LLC is registered, without regard to conflict-of-law principles. Agent agrees to comply with:

  • All applicable U.S. federal and state laws

  • Applicable international travel regulations

  • Anti-bribery and anti-corruption laws

  • Data privacy and consumer protection laws in its operating jurisdiction

Agent is solely responsible for its own licensing, registration, and compliance obligations in its home country.

4. Accreditation & Verification

SJD Taxi reserves the right to verify Agent credentials, including but not limited to:

  • IATA, ARC, CLIA, TRUE, ASTA, ABTA, TICO, ATOL or similar accreditation

  • Business registration documents

  • Tax identification documentation

SJD Taxi may suspend or terminate participation if credentials are found to be invalid or misrepresented.

5. Commission & Compensation

Commission or net rate eligibility is determined by SJD Taxi and may vary by tier, volume, or accreditation status.

Commission terms:

  • Commission is earned only upon successful completion of service.

  • No commission is paid on cancelled, refunded, disputed, or fraudulent transactions.

  • Commission is not paid on taxes, government fees, gratuities, or third-party pass-through charges unless explicitly stated.

  • Payouts require submission of appropriate tax documentation (W-9, W-8BEN, W-8BEN-E, etc.).

SJD Taxi reserves the right to offset unpaid balances, chargebacks, or disputed transactions against future commission payments. Commission structures may be modified with written notice.

6. Pricing & Rate Integrity

Agent agrees:

  • Not to advertise rates below approved pricing.

  • Not to misrepresent services, inclusions, or availability.

  • Not to bundle SJD Taxi services in a way that alters service terms without written approval.

All final service terms are governed by SJD Taxi’s published Terms of Service.

7. Fraud Prevention & Identity Verification

SJD Taxi maintains identity verification procedures, including passenger ID confirmation and in-vehicle documentation, to prevent fraud. Agent acknowledges that these procedures are implemented for consumer protection and regulatory compliance. SJD Taxi reserves the right to decline or cancel reservations suspected of fraud or abuse.

8. Customer Relationship & Liability

Agent remains responsible for:

  • Accurately communicating service details to clients

  • Ensuring client awareness of applicable government fees or taxes

  • Providing correct traveler information at booking

SJD Taxi is not liable for losses caused by inaccurate information submitted by Agent. SJD Taxi’s liability, if any, is limited to the total amount paid for the specific service in question. Under no circumstances shall SJD Taxi be liable for indirect, consequential, punitive, or special damages.

9. Cancellations, Modifications & Refunds

All cancellations and refunds are governed by SJD Taxi’s published cancellation policy at the time of booking. Chargebacks initiated by Agent’s client may result in:

  • Immediate commission reversal

  • Suspension of Agent account pending review

  • Termination for repeated disputes

10. Confidentiality

Agent agrees to keep confidential:

  • Net rates

  • Commission structures

  • Internal documentation

  • Operational procedures

Confidential information may not be disclosed to third parties without written consent.

11. Marketing & Brand Use

The agent may reference SJD Taxi in marketing materials only in a truthful and accurate manner. Use of logos, trademarks, or branded assets requires prior written approval. SJD Taxi may revoke marketing permissions at any time.

12. Data Protection

SJD Taxi uses secure systems compliant with international data protection standards.

Agent agrees:

  • To transmit customer data securely

  • Not to misuse or resell customer data obtained through SJD Taxi

  • To comply with applicable privacy regulations

13. Term & Termination

This Agreement becomes effective upon the approval of the Agent’s registration. Either party may terminate this Agreement at any time with written notice. SJD Taxi may immediately suspend or terminate participation for:

  • Fraud

  • Misrepresentation

  • Chargeback abuse

  • Violation of pricing policies

  • Regulatory concerns

Termination does not eliminate outstanding financial obligations.

14. Force Majeure

SJD Taxi shall not be liable for service disruption caused by events beyond reasonable control, including but not limited to:

  • Weather

  • Government restrictions

  • Airport closures

  • Civil unrest

  • Transportation interruptions

  • Unforeseen mechanical failures or equipment breakdowns

15. Dispute Resolution

Any dispute arising from this Agreement shall be governed by U.S. law and resolved in the appropriate courts within the jurisdiction of SJD Taxi’s principal place of business, Oakland County, Michigan, USA.

16. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes prior discussions or representations. SJD Taxi reserves the right to update this Agreement with written notice. Continued participation constitutes acceptance of updated terms.

By submitting the Travel Agent Application and selecting acceptance of these terms, Agent acknowledges agreement to this Travel Agent Agreement.

Luxury Agency Partner Addendum

SJD Taxi, LLC – Premium Travel Agency Tier

This Luxury Agency Partner Addendum (“Addendum”) supplements the SJD Taxi Travel Agent Agreement (“Agreement”) between SJD Taxi, LLC (“SJD Taxi”) and the approved Travel Agent (“Luxury Partner”). This Addendum applies only to Agents formally designated in writing by SJD Taxi as “Luxury Agency Partner – Tier 1.” All provisions of the primary Agreement remain in effect except as modified herein.

1. Eligibility & Designation

Luxury Partner status is granted at the sole discretion of SJD Taxi based on factors including:

  • Verified industry accreditation (IATA, ARC, CLIA or equivalent)

  • Demonstrated annual volume

  • Luxury or high-net-worth client base

  • Compliance history

  • Payment reliability

Luxury Partner status may be revoked at any time if standards are not maintained.

2. Enhanced Commission Structure

Luxury Partners may qualify for:

  • Preferred commission percentages or preferred net rates

  • Volume-based performance incentives

  • Annual production bonuses (if applicable)

Commission remains:

  • Earned only upon completed services

  • Subject to fraud review and chargeback offset

  • Excluding government taxes, mandatory tourism fees, gratuities, and third-party pass-through charges

SJD Taxi reserves the right to audit booking patterns to prevent abuse of preferential pricing.

3. Dedicated Concierge & Priority Support

Luxury Partners may receive:

  • Priority response handling

  • Dedicated account contact (when available)

  • Expedited itinerary coordination

  • Custom arrival signage or elevated presentation standards when operationally feasible

Priority support does not guarantee availability during peak demand or force majeure events.

4. Brand Representation Standards

Luxury Partner agrees to:

  • Represent SJD Taxi as a premium private transportation provider

  • Avoid bundling services in a manner that devalues brand positioning

  • Refrain from discount marketing inconsistent with luxury positioning

  • Maintain alignment with SJD Taxi service standards

SJD Taxi reserves the right to require correction of marketing materials that conflict with brand standards.

5. VIP & High-Profile Client Handling

For celebrity, executive, UHNW, or sensitive-profile travelers:

  • Advance notification must be provided

  • Special security requests must be disclosed in writing

  • Additional security or vehicle surcharges may apply

SJD Taxi reserves discretion to decline high-risk security scenarios.

6. Confidentiality & Rate Protection

Luxury Partner acknowledges that:

  • Preferred pricing structures are confidential

  • Net rates must not be disclosed to travelers

  • Rates may not be redistributed to third-party wholesalers, consolidators, or resale marketplaces

Unauthorized redistribution of preferred pricing constitutes grounds for immediate termination.

7. Production Thresholds

Luxury Partner status may require minimum annual production thresholds.

If annual booking volume falls below agreed benchmarks, SJD Taxi may:

  • Adjust commission tier

  • Reclassify to Standard Partner status

  • Remove preferential pricing access

Production review may occur annually or at SJD Taxi’s discretion.

8. Payment Reliability Requirement

Luxury Partner agrees to:

  • Maintain clean chargeback history

  • Promptly cooperate with fraud investigations

  • Submit complete traveler information at time of booking

Excessive disputes, payment reversals, or documentation deficiencies may result in suspension.

9. White-Glove Custom Itinerary Coordination

Luxury Partners may request:

  • Multi-day transport planning

  • Villa coordination

  • Concierge activity integration

  • Event-based transportation planning

Custom itinerary planning may require written confirmation and deposit terms outside standard booking flow.

10. Non-Circumvention

Luxury Partner agrees not to:

  • Directly solicit SJD Taxi drivers

  • Attempt to subcontract SJD Taxi operations

  • Replicate operational processes for competitive use

Violation constitutes material breach.

11. Termination of Premium Status

Luxury Partner designation may be terminated immediately for:

  • Brand misrepresentation

  • Rate abuse

  • Fraud concerns

  • Payment instability

  • Reputational risk

Termination of premium status does not terminate the base Travel Agent Agreement unless separately notified.

12. Limitation of Liability

All liability limitations in the base Agreement remain in full force. Luxury Partner status does not expand financial liability or guarantee service outcomes beyond published Terms of Service.

13. Entire Addendum

This Addendum supplements and is incorporated into the SJD Taxi Travel Agent Agreement. In the event of conflict, this Addendum controls only with respect to Luxury Partner benefits and obligations. Luxury Partner designation is valid only upon written confirmation by SJD Taxi.

Acknowledgment

By accepting the Luxury Partner designation, Agent agrees to comply with this Addendum and the base Travel Agent Agreement.
